What is Board Resolution Drafting Service?

What We Deliver

Completed MCA filing with official acknowledgment and Certificate (where applicable). Drafted constitutional documents, resolutions, and compliance certificates. Post-registration compliance checklist with due dates for the first year. Digital copies of all filed forms and supporting documents. Ongoing compliance calendar and advisory support.

Our Process

Step 1: Requirement analysis and entity structure advisory. Step 2: Document collection and verification. Step 3: Form preparation, DSC coordination, and MCA filing. Step 4: Follow-up with ROC until certificate/approval. Step 5: Post-completion compliance setup.

Our dual qualification as both Chartered Accountant and Company Secretary means we handle both financial and corporate governance compliance under one roof. This eliminates the common gap between your CA and CS — where ROC filings wait for financial data or vice versa. One team, one timeline, complete compliance.

Frequently Asked Questions

How long does board resolution drafting take?
Typically 5-15 working days from submission of complete documents, depending on MCA processing times and ROC workload. We provide a clear timeline at the start of every engagement. Contact us at +91-99622 60333.
What documents are needed for board resolution drafting?
Key documents include PAN card, Aadhaar, proof of registered office address, DSC of directors, and entity-specific documents (MOA/AOA/LLP Agreement). We provide a personalised checklist after the initial consultation.
Can Virtual Auditor handle this remotely?
Yes. While we have physical offices in Chennai, Bangalore, and Mumbai for in-person meetings, most company law filings are handled digitally through the MCA portal. Documents can be shared securely via email or our client portal.
How do I make this corporate change correctly, and what approvals and records are needed?
Start with what the change is and what your articles of association say. Most changes need a board resolution, and some need the shareholders: a change of name, a shift of registered office to another state or an alteration of the articles needs a special resolution, which is filed in Form MGT-14 within 30 days. Each change has its own ROC form: DIR-12 within 30 days for appointing or removing a director (the new director needs a DIN and gives consent in DIR-2), SH-7 for an increase in authorised capital, INC-22 for a change of registered office. Afterwards, update the statutory registers, the bank and GST records, and your letterhead. We check the prerequisites, draft the resolutions and file the forms.
