CA Certificates — Use Cases and Scope
Chartered Accountant certificates are issued under specific provisions of the Income Tax Act, FEMA, Companies Act, and GST law for a wide range of regulatory, commercial, and litigation purposes. Each certificate has prescribed format, supporting documentation, and signatory requirements. Common certificates we issue include Net Worth, Turnover, Form 15CA/15CB, Statutory Auditor reports under Section 139, FEMA pricing certificates, Form 10F, Form 67 (Foreign Tax Credit), Lower Deduction Certificate Section 197, and project finance / DPR certifications for bank loans.
Form 15CA/15CB — Foreign Remittance Certificates
Section 195 of the Income Tax Act read with Rule 37BB requires that any payment to a non-resident — for services, royalty, technical fees, dividends, interest, or otherwise — be supported by Form 15CA (filed by remitter) and where applicable Form 15CB (CA certificate). The CA certificate certifies the nature of payment, applicable withholding tax rate (treaty or domestic), and the amount of TDS deducted. Errors in 15CB issuance are a primary trigger for Section 201 / 201(1A) demand proceedings.
Net Worth Certificate
Net Worth Certificates are required for tender qualification, visa applications (particularly for student and investor visas), bank loan applications, and director-disqualification proceedings under Section 164. The certificate is based on the latest audited financial statements with adjustments for fair-value items and contingent liabilities. The certifying CA's responsibility is to verify the underlying records, not merely to restate the audited balance sheet.
Turnover Certificate
Required for tender qualification, MSME classification, bank loan applications, and CA-firm empanelment processes. The certificate addresses turnover for one or multiple years, with definitions matched to the requesting authority's specifications (gross sales, net sales, GST-included or excluded, etc.).
FEMA Pricing Certificate
For inbound FDI and FC-GPR filings, the FEMA pricing certificate confirms that the share issue price is at or above the FEMA-prescribed floor — typically the higher of DCF-based fair value, NAV-FMV, or the comparable listed price. The certificate is issued either by a SEBI-registered Category I merchant banker or by the CA of the company under specific conditions.
