What has changed in the law — reviewed October 2026

  • Angel tax: section 56(2)(viib) of the Income-tax Act, 1961 does not apply from assessment year 2025-26 (Finance (No. 2) Act, 2024), so share premium received from any investor is no longer taxed under that clause. Valuations are still required under separate regimes, each with its own law and signing professional: fair market value under Rule 11UA(1)(c) of the Income-tax Rules, 1962 for section 56(2)(x) in the recipient's hands (net-asset basis for unquoted equity shares); FEMA pricing for a non-resident investor under the FEM (Non-debt Instruments) Rules, 2019, certified by a Chartered Accountant, SEBI-registered merchant banker or practising cost accountant; a registered valuer's report under section 247 of the Companies Act, 2013 and Rule 13 of the Companies (Share Capital and Debentures) Rules, 2014 for preferential allotments under section 62(1)(c); and grant-date fair value of the option under Ind AS 102 for ESOP accounting (reviewed 25 October 2026).

What are Virtual Auditor's credentials?

Does Virtual Auditor serve clients outside India?
Yes. With offices in Chennai, Bangalore, and Mumbai, we serve clients across India. Most engagements are handled digitally, with in-person meetings available at any of our three offices.
Does my startup qualify, and what evidence must I provide?
Under the DPIIT notification of 4 February 2026 (G.S.R. 108(E)), recognition is open to a private limited company, an LLP, a registered partnership firm or a registered cooperative society that is not more than 10 years old (20 years for a deep-tech startup), whose turnover has not exceeded ₹200 crore in any financial year (₹300 crore for a deep-tech startup), and that is working on innovation, development or improvement of products, processes or services, or on a scalable business model with high potential to create jobs or wealth. The application on the Startup India portal needs the certificate of incorporation, details of directors or partners, and a short description, supported by a website, pitch deck or product material, of what is innovative about the business. Recognition does not by itself give the income-tax holiday: that needs a separate certificate from the Inter-Ministerial Board, and the recognised entity must keep meeting the conditions.

What the law says — DPIIT notification G.S.R. 127(E) dated 19 February 2019; Income-tax Act s.80-IAC and s.56(2)(viib)

An entity qualifies for DPIIT recognition if it is a private company, LLP or partnership not older than 10 years with turnover not exceeding Rs 200 crore in any year, working on innovation or scalable business. Recognition opens the s.80-IAC tax holiday (3 of 10 years, on separate IMB approval) and self-certification under labour laws. The Income-tax Act, 2025 is in force from 1 April 2026 and applies to tax year 2026-27 onward; the section numbers above are those of the 1961 Act, which continues to govern assessments, appeals and pending proceedings for earlier years.

How does the procedure work?

  1. Confirm eligibility on age, turnover and innovation
  2. Prepare the pitch note and supporting documents
  3. File the recognition application on the Startup India portal
  4. Apply separately for s.80-IAC exemption before the Inter-Ministerial Board
  5. Maintain compliance to keep recognition valid
Time limitRecognition usually within 2 to 3 weeks; s.80-IAC available to startups incorporated up to 1 April 2030 (Finance Act, 2025)
