Company Registration in Chennai

Last updated: 3 Nov 2026

Chennai — the local picture for company registration

Chennai is the automotive and manufacturing capital of South India — car, truck and component plants on the Sriperumbudur and Oragadam corridors — and a major IT, SaaS and banking back-office centre on the OMR corridor, with Ambattur and Guindy as the historic industrial estates and T. Nagar and Parrys as the trading districts. Virtual Auditor's head office is at Spencer Plaza, Anna Salai. ROC Chennai, the Madras High Court, NCLT Chennai and ITAT Chennai are all in the city. For company registration this means incorporation and annual filings go to ROC Chennai (Chennai region) / ROC Coimbatore (Coimbatore region), the Tamil Nadu Shops and Establishments Act, 1947 applies from the first employee, and professional tax is applicable.

Why Register in Chennai?

Chennai is India's 4th largest economy and the capital of Tamil Nadu — home to the automobile industry ("Detroit of India"), a major IT corridor (Tidel Park, SIPCOT IT Park, Mahindra World City SEZ), healthcare (Apollo, MIOT), and manufacturing (Hyundai, Ford, BMW, Renault-Nissan). The Tamil Nadu government targets a ₹83 trillion economy by 2030. Chennai offers: strong talent pool (IIT Madras, Anna University, Loyola), lower cost of living than Bangalore/Mumbai, excellent port connectivity (Chennai Port, Ennore Port), and SEZ benefits. StartupTN — the state government's startup initiative — provides mentoring, funding access, and co-working spaces for registered startups.

When This Service Is Not Required

Company registration in Chennai may not be required when: (a) you are operating as a sole proprietorship or partnership and do not need limited liability or corporate structure, (b) an LLP structure better suits your needs (lower compliance, no minimum capital), or (c) an existing company in another city can simply open a branch office in Chennai. An OPC no longer has to convert on crossing a paid-up-capital or turnover limit: those thresholds were removed from 1 April 2021 (Companies (Incorporation) Second Amendment Rules, 2021). ROC Chennai serves Tamil Nadu, Puducherry, and Andaman and Nicobar Islands.

Which structure fits your business?

StructureUseful whenDecision to check
Private limited companyFounders/investors need ownership through shares or a structure for future equity funding and ESOPsAt least two directors and two members; director-residence requirements, share rights and recurring company compliance
LLPPartners want a partnership structure with separate legal identityPartner agreement, contributions, designated-partner requirements and the absence of company shares
OPCAn eligible individual wants a one-member company with a nomineeCitizenship, nominee and other eligibility requirements; future ownership changes
Sole proprietorshipOne person operates without forming a separate companyPersonal liability and activity-specific registrations; it is not MCA company incorporation

Do not choose only from the starting incorporation fee. Compare ongoing accounting, audit, tax, annual filings and how new owners will enter. Limited liability does not remove personal guarantees or liability for misconduct. An existing business may need a branch, office change or conversion rather than a second new entity.

Can a non-resident founder or foreign investor use this service?

Tell us the nationality/residence of each proposed owner and director and whether a foreign entity will subscribe. That can change eligibility, documents, signing and foreign-investment work. OPC membership is not restricted simply to Indian citizens resident in India: the 2021 amendment permits an Indian citizen whether resident in India or otherwise, subject to the remaining conditions.

Foreign ownership, sector rules, overseas document authentication and subsequent FEMA pricing/reporting require a specific scope; they are not automatically included in a domestic incorporation fee. Source on OPC eligibility: https://www.pib.gov.in/Pressreleaseshare.aspx?PRID=1694828&lang=2&reg=48

Fees, GST and the total amount to budget

ServiceStarting professional feeCosts outside that starting fee
Private limited incorporation₹8,999 + 18% GSTApplicable MCA filing fees, stamp duty and DSC/token charges
OPC incorporation₹8,999 + 18% GSTApplicable MCA fees, stamp duty and DSC/token charges
LLP incorporation₹10,000 + 18% GSTApplicable MCA fees, LLP-agreement stamp duty and DSC/token charges
Separate GST registration₹2,999 + 18% GSTNo government GST-registration application fee; continuing returns are separate

The actual quote states the entity, owners, capital/contribution assumptions, document requirements, included filings and exclusions. It identifies Tamil Nadu stamp duty and other actual charges for the selected transaction. Official charges depend on the selected entity and transaction assumptions.

Illustration only: ₹8,999 professional fee + ₹1,619.82 GST = ₹10,618.82 before applicable statutory and third-party costs. That arithmetic is not an all-inclusive incorporation quote. Government charges and token costs require the actual case details.

Documents: start with the people, office and proposed business

Document groupWhat to prepareWhen the checklist changes
Owners/directors or partnersNames, contact details, identity/address evidence, PAN where applicable and existing DIN/DPIN detailsForeign nationality/residence, a corporate subscriber or an existing identifier changes the records and signing route
Business proposalProposed names, activities, ownership/capital or contribution and management rolesRestricted words, regulated activities, another entity’s name/trademark or special share rights need review
Registered officeFull address, appropriate evidence of ownership/occupation and owner authorisation where applicableOwned, rented, consent/shared premises require the appropriate evidence; keep the address consistent across records
OPCMember and eligible nominee information and consentConfirm the actual eligibility and prescribed consent process
Foreign/corporate ownerConstitution/authorisation and identity records for the actual subscriber/signatoryAuthentication, translation, beneficial-owner and foreign-investment requirements are assessed for the country and facts

We confirm the precise mandatory and conditional attachments before filing. A residence or shared office is not accepted merely because it has a postal address: the applicant must have the appropriate right to use it. MCA incorporation attachments must be checked against the actual form; a GST checklist is not a substitute.

For the first enquiry, share the entity preference, owners’ residency/nationality, proposed capital, activity and office situation. Identity documents and portal credentials are not needed in the initial scoping message. Use the agreed onboarding route for required records.

What the incorporation scope includes

The written scope names the incorporation application and linked forms, preparation/coordination work, client approvals and filing. It identifies PAN/TAN integration and any DSC assistance relevant to the selected route, without treating token charges as included in the starting professional fee.

On approval, handover should identify the Certificate of Incorporation, approved constitutional documents, applicable acknowledgements and identifiers issued through the selected process. These are approval-dependent deliverables, not certificates the adviser can issue before MCA approval.

For the LLP package, the LLP agreement filing is included; agreement stamp duty and official charges remain separate. For OPC, nominee consent is part of the agreed incorporation scope.

Bank-account assistance, trademark/DPIIT applications, GST registration, first board minutes, commencement filing, auditor-appointment filing and ongoing compliance are separate unless expressly included. The incorporation quote does not include every service promoted elsewhere on the website.

Step-by-Step Process

  • Confirm the entity, owners, activity, capital and registered-office arrangement.
  • Agree the itemised quote, documents, signing roles, preparation period and exclusions.
  • Review name and document consistency and complete applicable applicant verification/DSC arrangements.
  • Prepare the correct MCA incorporation route and linked forms and obtain the required client/professional approvals.
  • File and monitor the application, handling queries within the agreed scope and recording any scope change.
  • On approval, hand over issued documents and a list of the client’s next compliance actions and separately engaged work.

Preparation time, approval and office visits

The preparation and filing period is 3–5 working days after complete information and advance payment. The actual start condition, client review time and query/resubmission scope are confirmed in the engagement.

Name approval, statutory processing, portal availability and foreign-document readiness can affect completion. An adviser’s preparation period is not an MCA approval guarantee. An office visit is not represented as a universal incorporation requirement: confirm the signing/verification route for the actual applicants. Visits to our Spencer Plaza, Anna Salai office are by appointment.

First-year handover: who does what after incorporation?

ActionResponsibility and timing to confirmIncluded in the base incorporation fee?
Banking and subscription moneyCompany/directors arrange the bank account and required subscription evidenceBank assistance only if quoted
First Board meetingFor an ordinary private company, generally within 30 days of incorporation; assess the company-specific provisions and exemptionsMinutes/support separate unless included
First auditorFor a non-government company, the Board’s initial appointment period is 30 days from registration; failure triggers the separate statutory processAudit/appointment work separate unless included
Commencement declarationWhere section 10A applies, INC-20A within 180 days; required conditions must be satisfied before business/borrowingSeparate unless included
Share certificates, registers and recordsConfirm the actual allotment/incorporation triggers and responsible personConfirm in the written package
Returns, accounts, GST/TDS and local registrationsA calendar based on the entity, activity, financial year and actual applicabilityRecurring work is separately scoped

The company and its officers retain statutory responsibilities. This is a handover checklist, not a promise that every listed filing is included or that the same calendar applies to LLPs, OPCs and ordinary companies.

Local office and practical decisions in Chennai

A founder using a family-owned Chennai residence should confirm who authorises the address and which ownership/occupation records support it. A registered office in Chennai does not automatically establish eligibility for a Tamil Nadu startup incentive.

Incorporation uses the national MCA process; the registered office and applicable state charges matter. Shops/establishment, professional-tax and activity licences require a separate applicability check rather than a blanket “included for every new company” statement.

Who undertakes and signs the work

Your compliance/advisory engagement letter and invoice are issued by Virtual Auditor Private Limited. CA V. Viswanathan leads the service; the engagement identifies the people performing and certifying the actual work. The engagement identifies the responsible professional and the applicant/director/subscriber signing roles.

Where a form requires practising certification, the signer must hold the eligibility and practising authorisation required for that document. ACS membership alone is not described as a practising certificate. Registered Valuer reports, CA attest work and other separately commissioned certificates have their own scope and contracting/signing requirements.

Review the written scope and professional identity before comparing providers. Ask for the named professional, a clear handover and relevant evidence of the proposed service before you engage.

What if a name or document is queried?

We review the actual reason, confirm which correction or evidence is needed, and handle the response within the agreed scope. A changed entity, owner, capital structure, purpose or a materially new application may require a revised quote. The engagement specifies included query/resubmission support; any revision allowance and refund terms must be stated in the agreement.

A Chennai incorporation decision: premises and operating permissions

Hypothetical example: two founders plan a share-funded business from rented Chennai premises. Decide the ownership and funding structure first, then align the company’s proposed office with the lease/authorisation and other evidence. The incorporation quote should distinguish company formation from GST and any activity-specific operating permissions. An incorporation certificate alone does not establish permission for every activity at that property.
