These Terms & Conditions ("Terms") govern the use of the website virtualauditor.in, mobile applications, and all professional services provided by Virtual Auditor Private Limited and its practicing firm V Viswanathan & Associates ("we", "us", "Virtual Auditor"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

"Client" means any individual, company, LLP, partnership, trust, or other entity that engages Virtual Auditor for professional services. "Services" include but are not limited to: valuation, company registration, GST/IT filing, FEMA compliance, forensic accounting, company secretarial, and advisory services. "Engagement Letter" means the written agreement specifying the scope, fees, and timeline of a professional engagement. "Deliverables" means reports, certificates, filings, and other outputs of our professional work.

2. Scope of Services

All professional engagements are governed by a separate Engagement Letter signed by both parties before work commences. The scope of work, fees, timelines, and deliverables are defined in the Engagement Letter. These Terms apply in addition to, and not in replacement of, the Engagement Letter. In case of conflict, the Engagement Letter prevails for that specific engagement.

3. Professional Standards

All services are rendered in accordance with applicable professional standards: (a) Chartered Accountancy standards issued by ICAI; (b) IBBI (Registered Valuers) Regulations, 2017 for valuation engagements; (c) Company Secretarial standards issued by ICSI; (d) ACFE Code of Professional Ethics for forensic engagements; (e) applicable provisions of the Companies Act, 2013, Income Tax Act, 1961, CGST Act, 2017, FEMA, 1999, and regulations thereunder.

4. Client Obligations

The Client shall: (a) provide complete, accurate, and timely information and documents required for the engagement; (b) inform Virtual Auditor of any material changes affecting the engagement; (c) pay fees as per the Engagement Letter; (d) not use our reports, certificates, or opinions for purposes other than those specified in the Engagement Letter without prior written consent; (e) comply with all applicable laws and regulations relevant to the engagement.

5. Fees and Payment

Fees are as specified in the Engagement Letter or our published pricing at virtualauditor.in/pricing. Government fees, stamp duty, and filing charges are additional and payable at actuals. Payment is due upon receipt of invoice unless otherwise agreed. Late payments attract interest at 1.5% per month. GST at applicable rates is charged in addition to professional fees.

6. Intellectual Property

All proprietary tools, methodologies, templates, and software (including Valuation Engine Pro, forensic analytics tools, and cross-regulatory conflict detection systems) remain the intellectual property of Virtual Auditor. Deliverables provided to the Client may be used only for the purposes specified in the Engagement Letter. Our brand, logo, and trade name may not be used without prior written consent.

7. Confidentiality

Both parties agree to maintain confidentiality of all information shared during the engagement. Virtual Auditor will not disclose Client information to third parties except: (a) as required by law or regulatory authority; (b) to professional bodies (ICAI, IBBI) if required under professional regulations; (c) with the Client's prior written consent; (d) to our employees and associates on a need-to-know basis.

8. Limitation of Liability

Virtual Auditor's total liability for any claim arising from a professional engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for: (a) indirect, consequential, or incidental damages; (b) loss of profits, revenue, or business opportunities; (c) delays or losses arising from the Client's failure to provide accurate information or timely documents; (d) decisions made by regulatory authorities, courts, or tribunals; (e) changes in law or regulation after the date of our report or filing.

9. Disclaimer

10. Dispute Resolution

Any dispute arising from these Terms or any engagement shall be resolved through: (a) mutual discussion and negotiation (30 days); (b) mediation before a mutually agreed mediator (60 days); (c) arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual consent. The seat of arbitration shall be Chennai. The language of arbitration shall be English. Indian law governs these Terms.

11. Termination

Either party may terminate an engagement by providing 15 days written notice. Upon termination: (a) fees for work completed up to the date of termination are payable; (b) all Client documents will be returned within 30 days; (c) work product completed up to the termination date will be delivered; (d) confidentiality obligations survive termination.

12. Website Terms of Use

By using virtualauditor.in, you agree not to: (a) copy, reproduce, or distribute website content without written permission; (b) use automated tools (scrapers, bots) to access the website; (c) interfere with the website's security or functionality; (d) submit false information through contact forms. We reserve the right to block access to the website without notice.

13. Amendments

We may update these Terms from time to time. Material changes will be communicated to active clients via email. The updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services constitutes acceptance of the revised Terms.
