What is company secretarial compliance?

Company secretarial work keeps a company's legal records and filings with the Registrar of Companies up to date. Missed filings carry additional fees and can lead to a company being struck off or its directors disqualified.

How many board meetings are needed?

At least four a year with no more than 120 days between two meetings (section 173). One person companies, small companies and dormant companies need only one meeting in each half of the year, at least 90 days apart. Meetings follow Secretarial Standards SS-1 and SS-2.

When does a company need a whole-time company secretary or a secretarial audit?

A company with paid-up capital of ₹10 crore or more must appoint a whole-time company secretary. A secretarial audit (section 204) is required for listed companies, public companies with paid-up capital of ₹50 crore or more or turnover of ₹250 crore or more, and companies with outstanding bank or financial-institution borrowings of ₹100 crore or more.

Event-based filings include PAS-3 within 15 days of a share allotment, SH-7 within 30 days of increasing authorised capital, DIR-12 within 30 days of a director change, MGT-14 for specified resolutions, and CHG-1 within 30 days of creating a charge.
