Step 1: Conduct Board Meeting and Pass Board Resolution for Company Name Change     

Companies Act 2013, lays down the procedure to follow for the name, the board of directors pass a resolution for a name change and to authorize directors to apply for RUN FORM, then the board must convince for altering the Memorandum of Association & Articles of Association

Step 2: Check Company Name Availability in RUN Form

Apply for Name approval to RoC in RUN form, attaching the board resolution mentioned above to the RUN form is mandatory

RoC generally takes anywhere between 1 to 3 working days for company name change approval

Step 3: Post Name Approval Pass Special Resolution for Company Name Change

Once the name approval is granted, call for an extraordinary general meeting of the member and pass a special resolution for

  • Alteration of Name Clause of Memorandum Association
  • Alteration of Name Clause of Articles of Association

Step 4: Application for approval of Company Name Change

Prepare and submit the following

eForm MGT-14 along with a certified true copy of the necessary resolution for alteration of Memorandum of Association and Articles of Association (MOA and AOA) need to be filed

eForm INC-24 (Application for approval of Central Government for a change of name) needs to be filed, to give effect to change in name.

RoC usually takes between 3 to 15 working day for the approval of this form

Step 5: Issuance of New Certificate of Incorporation

Registrar of Companies would scrutinize the forms and if the eForms were in order, ROC will issue a new company name change certificate of incorporation.

Step 6:  Make Changes & Issue the altered MOA and AOA

Make changes to your MOA & AOA and circulate to all related parties, banks, and all other creditors

Step 7:  Apply for PAN & TAN & GST 

As the company name has changed, you need to apply for Company name change in your PAN & TAN and intimate the name change to GST and update all other statutory registers
